TERMS AND CONDITIONS:

In making a booking by Application Form for a stand at the Expo, you (the Exhibitor) are entering into an agreement with Senior Events Ltd (the Organiser) and agree to the following terms. (The relevant provisions of the Contract and Commercial Law Act 2017 also apply). 1. HOW DO I BOOK? 1.1 All Bookings must be made on the Application Form and will be confirmed by the Organiser within 3 business days via a confirmation e-mail. 2. WHAT ARE THE PAYMENT TERMS? 2.1 Payment: 50% of the total Exhibitor Fee must be paid within 10 working days of confirmation by the Organiser. The balance of the Exhibitor Fee shall be payable 6 weeks prior to the show days. 2.2 Exclusions from Exhibitor Fee: The Exhibitor Fee does not include insurance, loading and handling of equipment, staff, wifi, exhibit dressing, advertising or promotional material, or suchlike that is associated with the stand booking. 3. WHAT HAPPENS IF I WANT TO CANCEL A BOOKING? 3.1 Cancellation to be made in writing: Any cancellations by the Exhibitor must be made in writing or by email to the Organiser not later than 8 weeks prior to the Expo dates, so as to allow time for the Organiser to find a replacement exhibitor for the stand. Full payment will be required within this timeframe if the company is still trading. 3.2 Any refunds by the Organiser following cancellation shall be at the discretion of the Organiser and the discretion will be exercised only where a replacement exhibitor has been found and full payment of the stand fee met. 4. POSTPONEMENT OR CANCELLATION 4.1 The Organiser will not be liable for any failure or delay in providing the Expo if the failure or delay arises directly or indirectly from an event or circumstance which is unforeseeable or beyond the Organiser’s control and not arising from the insolvency or an intentional act or omission of the Organiser (force majeure event). A force majeure event includes but is not limited to the following: (i) act of God; (ii) earthquake, flood, fire, storm, adverse weather conditions or other natural events for which provision could not reasonably have been made; (iii) interruption or failure of any utility services; (iv) unpredictable delays in delivery of materials, equipment or services which could not reasonably be prevented by the Organiser; (v) sabotage, riot, civil disturbance, explosion, terrorist acts, epidemic, pandemic, national emergency, or act of war; (vi) governmental restraint, sanction, expropriation, prohibition, intervention, direction or embargo; (vii) strike, lockout, work stoppage or other labour hindrance. 4.2 If a force majeure event occurs, the Organiser will: (i) give you written notice as soon as possible after becoming aware of a force majeure event or likelihood of a force majeure event; and (ii) in that notice, provide details of the nature, expected duration and effect of the force majeure event; and (iii) keep you informed of any material changes in the nature of and any cessation of the force majeure event. 4.3 Notwithstanding 4.1 and 4.2, if a force majeure event occurs, the Organiser may, having regard to the costs incurred by the Organiser and in its sole discretion: (i) provide a full refund for the site purchased; or (ii) provide a partial refund for the site purchased; or (iii) transfer the site purchased to an alternative event date (which once transferred will be non-refundable); or 2 S2145-004.0002 (iv) decline to provide a refund. 5. WHAT ARE THE SPECIFICATIONS OF THE EXPO BOOTH/SPACE? 5.1 Standard booth dimensions: Standard booth space sizes are 3m x 2.4m. Booths include Velcro receptive wall panels, spotlight, carpet and power. 5.2 Special booth/stand requirements: The Exhibitor must advise the Organiser of any special requirements at least 2 weeks prior to the Expo date. All special requirements are subject to approval from the Organiser. 5.3 Booth shell scheme colours: The shell scheme is black. Exhibitors wishing to use other colours need to book and pay directly with the Organiser’s nominated display company, at the sole cost of the Exhibitor. Further information will be available in the Exhibitors Manual which will be emailed to Exhibitors at least two months prior to the Expo. 6. WHAT ARE MY OBLIGATIONS AS AN EXHIBITOR? 6.1 Responsibility: It is the Exhibitor’s responsibility to educate attendees about the industry/product/service it represents in the most positive, competent, articulate and professional manner possible. Business casual attire is appropriate (we recommend wearing comfortable shoes). 6.2 Exhibitor responsible for own property: The property of the Exhibitor is deemed to be under his/her/its custody, control and oversight at all times, including in transit to and from the Expo and within the confines of their booth. The booth, materials, displays and equipment should not be left unattended at any time. The Exhibitor is wholly responsible for the security of his/her/its materials at all times including during set up and pack out/dismantling. 6.3 Liability: The Organiser accepts no responsibility whatsoever for any loss of or damage to or theft of property (including materials, displays and equipment) belonging to the Exhibitor. 7. WHAT ARE MY HEALTH & SAFETY OBLIGATIONS? 7.1 Legal Compliance: All exhibitions must comply with all current building, health and safety, fire and other similar regulatory requirements. 7.2 Venue Compliance: The Exhibitor must, at all times, comply with the venue’s regulations and policies including without limitation any no smoking rules. 8. WHAT INSURANCE SHOULD I HAVE? 8.1 Exhibitor to indemnify: By completing and submitting the Application Form, the Exhibitor agrees to indemnify and hold harmless the Organiser and the venue from all claims, demands, damages or liability of any kind including, without limitation, loss, damage to or destruction of property, breach of contract, injury, negligence, abuse or wilful misconduct caused by or alleged to have been caused by the Exhibitor. The Organiser recommends that the Exhibitor has appropriate insurance cover. 8.2 Organiser does not insure: Neither the Organiser nor the venue provides insurance cover for the benefit of exhibitors. Exhibitors who wish to carry insurance on their property or for any other purpose must do so at their own expense
